Andrew
became a partner of McMahon Clarke Legal on 1 September 2004 and was
admitted as a solicitor of the Supreme Court of Queensland in 1997.
Andrew
holds a Bachelor of Laws and a Bachelor of Commerce from the University of
Queensland and an Associate Diploma in Applied Finance and Investment from
the Securities Institute of Australia. Having passed the certificate
level, Andrew is also completing a Masters of Business Administration at
the Australian Graduate School of Management.
Before
joining McMahon Clarke Legal, Andrew worked for two national law firms in
Brisbane in the areas of property, property finance and corporate law.
Prior to that, Andrew had two years with one of London’s premier law
firms. While working in London, Andrew was a member of a specialist
banking and finance department and gained exposure to sophisticated
property, corporate and structured finance transactions.
Since
joining McMahon Clarke Legal, Andrew has specialised in establishing and
raising debt and equity finance for property funds, property securities
funds and mezzanine debt syndicates. Andrew provides a full range of
services to fund managers acquiring or lending against property assets,
including:

Advice on the
structuring of all forms of property funds whether they be registered or
unregistered, fixed term or open ended, listed or unlisted, and the stamp
duty and licensing implications for property fund promoters.
§
The preparation of
product disclosure statements and information memoranda used to raise
equity from both wholesale and retail investors.
§
Listing property
funds on the Australian Stock Exchange and providing associated advice in
relation to the ASX Listing Rules.
§
Property due
diligence investigations and advising on and assisting in the acquisition,
management and sale of properties.
§
Acting for fund
managers, as borrowers, in relation to negotiating and coordinating the
senior and mezzanine debt facilities used with subscribed equity to fund
the acquisition of property investments.
§
Acting for fund
managers, as lenders of mezzanine debt, by drafting and negotiating the
finance documents used for the provision of mezzanine debt to property
developers.
