Planum Capital Pty Ltd – advising Planum Capital Pty Ltd on structuring and establishing the Planum Footscray Fund, including advising on its debt funding for, and acquisition of, 90 Maribyrnong Street, Footscray, Victoria. Our role included drafting the information memorandum, undertaking all property due diligence, reviewing finance documents and attending to settlement on behalf of the fund.
Centuria Grenfell Street Fund – assisting Centuria Property Funds Limited launch the Centuria 80 Grenfell Street Fund, a single-asset, closed-ended unlisted property fund investing in a 50 percent interest in a premier A-grade office tower located at 80 Grenfell St in the Adelaide CBD (South Australia). We advised on all aspects of establishing the fund, registration and offer of investment to retail clients and also developed a new exit mechanism for investors. Our work included preparing/reviewing the constitution, PDS, advertising material, due diligence procedures and documentation.
iProsperity Group – advising iProsperity Group on acquiring debt finance for its joint venture acquisition of Chatswood Central, a commercial property in Sydney, for $115 million. We advised the senior and mezzanine borrowers on a $70 million senior facility and a $17 million mezzanine facility, including structuring the transaction; reviewing and negotiating security trust agreements, loan note deed and drawdown conditions; negotiating with the lenders and the joint venture partner; and advising on interposing trust vehicles.
Home Investment Consortium Trust – advising Primewest on the establishment of a wholesale vehicle to raise capital to invest in the Home Investment Consortium Trust alongside Chemist Warehouse, Spotlight Group and Aurrum. The Home Investment Consortium Trust was established to indirectly aquire the Masters property portfolio, in a $725 million transaction.
Cromwell Riverpark Trust – advising the responsible entity on all aspects of a proposal to extend the term of this single asset trust for a further five years and to provide investors with a matching facility to enable them to either acquire more units or sell some or all of their units in the trust. The trust owns Energex House, a $237 million property in Brisbane's CBD. Our role included advising on the structure of the transaction, preparing and reviewing constituent documents, including the notice of meeting and explanatory memorandum and supplementary constitution, advising on meeting and voting requirements and attending the meeting of investors. An overwhelming 77.8 percent of the trusts near 2,000 unitholders voted in favour of extending the trust, exceeding the 50 percent required. A further 95.8 percent of unitholders voted to approve an amendment to the trust's constitution in order to implement the rollover proposal.
Forza Browning Street Fund – advising the trustee in establishing a wholesale property fund to acquire a mixed use office/retail asset for $65.5 million. Our role included all aspects of the transaction including establishing the fund, drafting the information memorandum, undertaking all property due diligence, reviewing finance documents for the borrower and attending to settlement on behalf of the fund.
Centro MCS syndicate management business – restructure of Centro Properties Group and Centro Retail Trust to create the multi-billion dollar ASX listed Centro Retail Australia (now Federation Centres).
Linear Asset Management – preparing the PDS for the Freehold Australian Property Fund, a unique fund investing directly into listed A-REIT and infrastructure securities and unlisted property securities.
ABC Learning Centres – representing a property fund which was a major landlord of ABC Learning Centres, and successfully intervening in the insolvency proceedings.
Hengyi Swanston Central Fund – advising the trustee on establishing a fund to raise up to $60 million for the Swanston Central Project being developed by Hengyi Pacific Pty Ltd, a 1,000 apartment project with an end value in excess of $500 million.
WINIM Funds Management – we have established a number of wholesale development funds for the WINIM Group for residential projects based in Sydney and Brisbane, Our role included securing an AFS licence, preparing the constitutions, investment management and development agreements and offer documents.
Open Corporation Funds Management Limited – preparing the PDS for a land subdivision, making Open Corporation one of the first fund managers to prepare an offer document adopting ASIC's new disclosure regime.

USS Funds Management – establishing a stapled vehicle to acquire, develop and operate self-storage facilities, with listed company National Storage as the cornerstone investor.
Pellicano Funds Management – preparing the underlying trust and sale documentation and negotiating the commercial terms for the sale of a 50 percent interest in Pellicano Property Trust 3, a $150 million industrial trust, to Sunsuper in a complex transaction.

Listed Alternative Asset Manager – assisting with establishing and promoting the Regent Street Woolloongabba Trust, Railway Terrace Milton Trust, Carl Street Woolloongabba Trust, Coronation Drive Toowong Trust and Alice Street Kedron Trust, including preparing disclosure documents and constitutions and advising on product offerings.
Equiti Capital Limited – establishing and promoting a retail fund for Equiti Capital Limited which invests in US-based multi-family property assets through a US REIT.
Hotels and tourism
Accor Asia Pacific – advising on the acquisition of Mirvac Hotels and Resorts from Mirvac Group for $182 million, including reviewing the structure and compliance of 25 hotels and resorts operated as registered and unregistered managed investment schemes.
Sydney Leisure, Gaming and Property Growth Fund (Lone Pine) No. 2 – advising the trustee on the establishment of a wholesale property fund to acquire the land and operating business of a hotel in Sydney. We provided structuring advice to the trustee, established a head fund and stapled sub-fund structure, and prepared and advised on the information memorandum for the offer and the investment management agreement.
I-Prosperity Cornerstone Property Income Fund – acted in establishing a wholesale property fund, which will acquire a hotel in Sydney for a purchase price $46 million. Our role included preparing and advising on the information memorandum for the offer, and providing structuring and significant investor visa (SIV) compliance advice to the trustee.
Listed Alternative Asset Manager – establishing registered and unregistered schemes to acquire land and develop student accommodation facilities Australia-wide for this ASX listed asset management group.
