Our long-term involvement in the funds management sector means we have a deep knowledge of the regulatory and governance regime and not just the commercial aspects of a fund. We understand the complex fiduciary responsibilities of trustees, particularly the regulatory issues for registered schemes.
Examples of our work
Planum Capital Pty Ltd – advising Planum Capital Pty Ltd on structuring and establishing the Planum Footscray Fund, including advising on its debt funding for, and acquisition of, 90 Maribyrnong Street, Footscray, Victoria. Our role included drafting the information memorandum, undertaking all property due diligence, reviewing finance documents and attending to settlement on behalf of the fund.
Centro MCS syndicate management business – restructure of Centro Properties Group and Centro Retail Trust to create the multi-billion dollar ASX listed Centro Retail Australia (now Federation Centres).
Accor Asia Pacific – the acquisition of Mirvac Hotels and Resorts from Mirvac Group for $182 million, including reviewing the structure and compliance of 25 hotels and resorts operated as registered and unregistered managed investment schemes.
Webster Limited – we advised the ASX listed Webster on the acquisition of the Gunns walnut assets, including replacement of the responsible entity of three registered managed investment schemes.
Listed Alternative Asset Manager – real estate acquisitions and transactions for an Australian based diversified alternative asset manager specialising in private equity, private real estate, hedge funds and real assets.
Pellicano Funds Management – preparation of the underlying trust and sale documentation and negotiating the commercial terms for the sale of a 50 percent interest in Pellicano Property Trust 3, a $150 million industrial trust, to Sunsuper in a complex transaction.
