We acted for IFM Investors in establishing the IFM Long Term Private Capital Fund (LTPC) comprising a series of individual wholesale Australian unit trusts, together with a Cayman Limited Partnership. LTPC seeks to make private equity investments in large scale assets in Australia and New Zealand. IFM is seeking to raise commitments for $1 billion. IFM Investors is one of Australia’s largest fund managers with over $180 billion of funds under management.
We were responsible for all aspects of establishing the LTPC in Australia as an unregistered managed investment scheme, including drafting the constituent documents to establish the funds (constitution, board resolutions and minutes) as well as reviewing and verifying the offer documents. We also advised on the appointment of the investment manager via the investment management agreement (IMA).
